A corporation is not said to do anything unless it has been deliberated upon collectively.

Explanation

A municipal corporation or body politic acts only through its formal collective deliberation — individual members acting alone do not bind the body.

Where this applies

  • A city council member acts on their own without a formal vote of the council.
  • A corporate officer binds the company without board approval.
